Description
We are hiring a Corporate Governance & Securities Compliance Specialist/Paralegal to manage a variety of processes relating to our public company reporting and compliance with stock exchange requirements. You'll support all aspects of our securities and corporate governance functions, work collaboratively with members of the legal, finance and compensation teams, and report directly to the Vice President, Deputy General Counsel and Assistant Secretary.

What You Will Be Doing:
  • Managing processes which support the preparation and filing of public company and corporate director, officer and shareholder reporting documents required by the U.S. Securities and Exchange Commission (SEC), the New York Stock Exchange (NYSE) and other regulatory agencies, including:
    • Form 3, 4 and 5 reporting of transactions in our stock
    • Annual proxy statement, proxy card and related notices
    • Reporting of legal, environmental, corporate governance and related matters in our Forms 10-K (Annual Report), 10-Q (Quarterly Report) and 8-K (Current Report)
    • NYSE certifications and affirmations
  • Administering our insider trading policy compliance program, including maintenance of our quarterly blackout list and sending blackout notifications
  • Overseeing Class B common stock transfers and conversions, including coordination with our transfer agent, brokers and shareholders
  • Assisting with support of our Board of Directors and its committees, including preparation of pre-read materials
  • Overseeing the implementation of changes to our website relating to corporate governance matters
  • Maintaining up-to-date and detailed records relating to the foregoing activities
Your Future Team:
You'll be a member of our global in-house legal team, working with our finance and compensation teams and interacting with senior management and members of our Board of Directors on a regular basis.

  • You are focused, motivated and versatile team player who is comfortable under pressure with an internal drive for perfection
  • You have excellent verbal and written communication skills with the ability to interact with others inside and outside Steelcase, including directors and executives
  • You're able to work collaboratively within a matrix organization and manage people without a direct reporting relationship
  • You can learn and apply legal concepts such as beneficial ownership and related person transactions
Required Skills and Competencies:
  • Bachelor's Degree
  • At least 5 years of experience in a professional role
  • High level of proficiency with Excel
Preferred Skills and Competencies:
  • Experience as a legal assistant or in a corporate legal function
