Job Description
Responsibilities

  • Conduct thorough preparation and review of annual and quarterly reports, as well as other filings with the Securities and Exchange Commission (SEC)
  • Assist in the creation of proxy statements and related materials for the annual stockholders' meeting
  • Manage matters related to executive compensation programs, including employee stock plans, and ensure compliance with Section 16 beneficial ownership reporting requirements
  • Collaborate in the development and review of securities offering documents for corporate public offerings
  • Provide guidance on compliance with regulatory frameworks such as the Dodd-Frank Act, the Sarbanes-Oxley Act, NYSE regulations, and other governance matters
  • Support the preparation of materials for board of directors and board committee meetings
  • Contribute to various corporate matters, including addressing Delaware corporate law issues, conducting M&A due diligence, and participating in negotiations of agreements and commercial contracts

Qualifications

  • Strong academic credentials are essential
  • A minimum of 5 years of experience as a securities paralegal, preferably in an in-house capacity
  • Demonstrated ability to provide reliable support to Chief Legal Officers and Secretaries
